1. Acceptance of terms

Speed-to-Lead AI is a product of Titanera Production LLC ("Speed-to-Lead," "we," "us"). By creating an account, configuring a business workspace, or otherwise using Speed-to-Lead (the "Service"), the business or individual using the Service ("Customer," "you") agrees to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Definitions

"Lead" means an individual who submits contact information through Customer's configured intake sources (hosted form, website embed, signed connector, or API) in order to request information about Customer's services.

"Customer Content" means business profile information, service catalogs, pricing policies, approved FAQs, booking configuration, and other data Customer inputs or configures within the Service.

"Lead Data" means information submitted by or collected about a Lead, including contact details, message content, and conversation history.

"Provider" means a third-party service Speed-to-Lead depends on to deliver a Service feature, including messaging carriers, AI model providers, automation platforms, payment processors, and calendar providers.

3. Description of service

Speed-to-Lead provides lead intake, messaging workflow, AI-assisted conversation handling, booking handoff, operator controls, analytics, support tooling, and related integration features for business customers responding to their own leads. The Service is provided on a software-as-a-service basis; no software is licensed for installation on Customer's own systems.

4. Accounts and eligibility

Customer must provide accurate registration information and maintain the confidentiality of account credentials and any issued API keys. Customer is responsible for all activity that occurs under its account, including activity by team members it invites. Customer must notify Speed-to-Lead promptly of any known or suspected unauthorized access.

5. Customer responsibilities

Customer is solely responsible for: the accuracy of business information, services, pricing, and policies it configures; obtaining and documenting any consent required before messaging a Lead; the content of any human-authored (operator) messages sent through the Service; and using the Service in compliance with applicable law, including telemarketing, messaging, and data-protection law applicable to Customer's business and jurisdiction.

6. Acceptable use

Customer will not use the Service to: send messages to a Lead who has not provided the consent required for that message under applicable law; send unsolicited bulk messages unrelated to a Lead's own inbound request; transmit unlawful, fraudulent, harassing, or deceptive content; attempt to circumvent rate limits, authentication, or tenant-isolation controls; or submit health information for processing unless a separate written agreement between Customer and Speed-to-Lead specifically authorizes that use. Speed-to-Lead may suspend an account for a reasonably suspected violation of this section pending investigation.

7. Messaging, consent, and third-party providers

Messaging, AI reasoning, calendar, email, and automation functions depend on Providers that are not operated by Speed-to-Lead. Provider availability, message deliverability, and delivery timing are not guaranteed. Where a Provider requires its own registration, verification, or compliance process (for example, messaging-carrier business registration), Customer is responsible for completing that process for its own sending identity unless otherwise agreed in writing.

STOP and other opt-out keywords are honored on a best-effort basis via the configured messaging Provider; Customer remains responsible for its own compliance obligations around consent and opt-out handling.

8. AI-assisted features and limitations

Some Service features use AI models to draft conversational replies, classify intent, or triage support requests. AI output may be incomplete, inaccurate, or inappropriate for a given situation. The Service is designed to constrain automated actions using Customer-approved business information and configured workflow rules, and to route uncertain, sensitive, or explicitly human-requested situations to a human operator. Customer is responsible for reviewing AI-assisted output where professional judgment, safety, legal, or higher-risk decisions are involved, and for configuring appropriate human-review points for its business.

9. Fees, billing, and cancellation

Plan fees, setup fees, usage-based charges, trial terms, renewal terms, cancellation terms, and any refund policy are as stated in Customer's order, the in-product plan selection at signup, or a separate signed service agreement, and are incorporated into these Terms by reference. Fees are billed in advance unless otherwise stated. Cancellation stops future billing; it does not entitle Customer to a refund of amounts already billed unless required by law or separately agreed. Failure to maintain a valid payment method may result in service suspension after the notice/grace period stated in Customer's plan.

10. Data ownership and customer content

As between the parties, Customer owns Customer Content and Lead Data it submits to or generates through the Service. Speed-to-Lead may process that data solely to provide, maintain, secure, and improve the Service, as described in the Privacy Policy. Speed-to-Lead does not sell Customer Content or Lead Data.

11. Intellectual property

Speed-to-Lead and its licensors retain all right, title, and interest in the Service, including its software, design, and documentation. No rights are granted to Customer other than the limited right to access and use the Service under these Terms. Customer retains all rights in Customer Content.

12. Confidentiality

Each party will protect the other's non-public business, technical, and account information disclosed in connection with the Service using at least the same degree of care it uses for its own confidential information of similar nature, and will not disclose it to third parties except as needed to perform under these Terms, as required by law, or as otherwise agreed.

13. Warranties and disclaimers

Except as expressly stated in these Terms or a signed service agreement, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Speed-to-Lead does not warrant that the Service will be uninterrupted, error-free, or that every message will be delivered.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages. Each party's total liability arising out of or related to these Terms will not exceed the total fees paid or payable by Customer to Speed-to-Lead under these Terms during the twelve (12) months immediately preceding the event giving rise to the claim. This section does not limit liability where limitation is not permitted by applicable law.

15. Indemnification

Customer will indemnify and hold Speed-to-Lead harmless from third-party claims arising from Customer's Lead Data, Customer's messaging content and consent practices, or Customer's violation of these Terms or applicable law.

Speed-to-Lead will indemnify and hold Customer harmless from third-party claims alleging that the Service, as provided by Speed-to-Lead and used in accordance with these Terms, infringes a United States patent, copyright, or trademark, or misappropriates a trade secret. This obligation does not apply to claims arising from Customer Content, Lead Data, Provider services, or use of the Service in combination with materials not supplied by Speed-to-Lead.

The party seeking indemnification must give the indemnifying party prompt written notice of the claim, sole control of the defense and settlement (provided that no settlement may impose liability or an admission of fault on the indemnified party without its written consent), and reasonable cooperation at the indemnifying party's expense. Failure to give prompt notice relieves the indemnifying party of its obligations only to the extent it is materially prejudiced by the delay. The indemnification obligations in this section are subject to the Limitation of Liability section, except where such limitation is not permitted by applicable law.

16. Term and termination

These Terms remain in effect while Customer maintains an account. Either party may terminate for convenience per the cancellation terms in Customer's plan. Speed-to-Lead may suspend or terminate immediately for a material breach, including violation of the Acceptable Use section, non-payment past the applicable grace period, or a reasonably suspected security or legal risk. On termination, Customer's access ends; data deletion and export rights are governed by the Privacy Policy and Customer's plan.

17. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including Provider outages, internet or infrastructure failures, natural disasters, or government action.

18. Governing law and dispute resolution

These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing a claim, the party raising a dispute will give the other party written notice describing the dispute, and the parties will attempt in good faith to resolve it informally within thirty (30) days of that notice. If the dispute is not resolved in that period, it will be brought exclusively in the state or federal courts located in the State of Nevada, and each party irrevocably consents to the personal jurisdiction and venue of those courts. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

To the fullest extent permitted by applicable law, each party waives any right to a trial by jury, and agrees that claims will be brought only in its individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

19. Changes to these terms

Speed-to-Lead may update these Terms from time to time. Material changes will be notified through the Service or by email to the account owner before taking effect for existing Customers. Continued use of the Service after a change takes effect constitutes acceptance.

20. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with Customer's order and any signed service agreement, constitute the entire agreement between the parties regarding the Service and supersede prior discussions on the same subject. Notices to Customer may be sent to the account owner's registered email address.
